End User License Agreement (EULA)
For SkyeVantage Web Portal Application
This End User License Agreement ("Agreement") constitutes a legally binding contract between you ("User") and The Roof Resource, LLC. ("Company") regarding your access to and use of the SkyeVantage web portal application ("Application"). By accessing or utilizing the Application, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth herein. If you do not accept all terms of this Agreement, you must refrain from using the Application.
1. License Grant
The Roof Resource, LLC. hereby grants you a non-exclusive, non-transferable, limited license to access and use SkyeVantage solely for your internal business purposes, and strictly in accordance with this Agreement.
2. Restrictions
- You are expressly prohibited from modifying, reverse engineering, decompiling, or disassembling any component of the Application.
- You shall not rent, lease, sublicense, or distribute the Application to any third party.
- You must not employ the Application for any unlawful, unauthorized, or prohibited purpose.
3. Intellectual Property
All intellectual property rights, including but not limited to software, content, and trademarks, in and to SkyeVantage shall remain the exclusive property of The Roof Resource, LLC. This Agreement does not convey any ownership interest in the Application to you.
4. Termination
This Agreement shall remain in effect until terminated. The Roof Resource, LLC. reserves the right to terminate your access to SkyeVantage at any time if you are found to be in breach of any provision of this Agreement. Upon termination, you must immediately cease all use of the Application.
5. Disclaimer of Warranty
SkyeVantage is provided "as is," without any warranty of any kind, whether express or implied. The Roof Resource, LLC. makes no representation or warranty that the Application will be free from errors, interruptions, or defects.
6. Limitation of Liability
To the fullest extent permitted by applicable law, The Roof Resource, LLC. shall not be liable for any damages, including but not limited to indirect, incidental, consequential, or special damages, arising from your use of or inability to use SkyeVantage, including loss of data or profits.
7. Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of the State of Michigan, without regard to any conflict of law principles.
8. Amendments
The Roof Resource, LLC. reserves the right to modify or update this Agreement at any time, at its sole discretion. Continued use of SkyeVantage after any such changes shall constitute your acceptance of the revised terms.
